These are the terms (the “Agreement”) that govern Your attendance at and/or participation in the ReImagine Entrepreneurship Program (the “Program”).
By registering for the Program, You are agreeing to these terms, which form a legal contract between The Research Foundation for the State University of New York on behalf of the University at Buffalo ("Foundation"), and the registered attendee and/or participant (“You”). If You are registering on behalf of another it is Your responsibility to ensure that the person attending is aware of these terms and accepts them, and by completing the registration You are warranting that You have made the attendee aware of these terms and that they have accepted these terms.
- Program Admission.
- Admittance. Your registration entitles You to admittance to the Program. Any and all other costs associated with Your attendance (including without limitation any travel and/or accommodation expenses) shall be borne solely by You and Foundation shall have not liability for such costs.
- Termination. You acknowledge that Foundation reserves the right to request Your removal from the Program if Foundation, in its sole discretion, considers Your presence and/or behavior to create a disruption or to hinder the Program and/or the enjoyment of the Program by other attendees or speakers.
- Media. By attending the Program, You acknowledge and agree to grant Foundation the right at the Program to record, film, photograph or capture Your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from You or any payment to You. This grant to Foundation includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.
- Program Content. You acknowledge and agree that Foundation, in its sole discretion, reserves the right to change any and all aspects of the Program, including but not limited to, the Program name, themes, content, program, speakers, performers, hosts, moderators, and time.
- Intellectual Property.
- All intellectual property rights in and to the Program, the Program content and all materials distributed at or in connection with the Program are owned by Foundation and/or the Program sponsors or speakers presenting at the Program. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Program, in any Program content and/or in any materials distributed at or in connection with the Program for any reason without the prior written permission of Foundation.
- For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in You any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by Foundation and/or the Program sponsors or speakers presenting at the Program or grant to You any right or license to any other intellectual property rights of Foundation and/or the Program sponsors or speakers presenting at the Program, all of which shall at all times remain the exclusive property of Foundation and/or the Program sponsors or speakers presenting at the Program.
- Warranties and Limitation of Liability.
- Foundation gives no warranties in respect of any aspect of the Program, or any materials related thereto or offered at the Program and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness and merchantability. Foundation and/or the Program sponsors or speakers presenting at the Program cannot and will not accept any responsibility or liability for reliance by You or any person on any aspect of the Program and/or any information provided at the Program.
- In no event will Foundation and/or the Program sponsors or speakers presenting at the Program be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Program or other aspect related thereto or in connection with this Agreement, whether or not Foundation and/or the Program sponsors or speakers presenting at the Program had been advised of the possibility of such damages.
- Reports. You will timely provide to Foundation any reports necessary and reasonably required for Foundation to meet its oversight and reporting obligations. Required reports include, but are not limited to, reports required by Empire State Development for purposes of monitoring and reporting on the Program, and will include simple metrics such as company formation, growth, and development. You agree to complete an annual report template for a period of three (3) years from the completion of the Program. On an annual basis, Foundation will send the report template to at the email address You provided upon registration. You are responsible for notifying Foundation at [email protected], if there is a change in Your email address. You agree complete and return the annual report to Foundation within thirty (30) days of receipt
- Governing Law. This Agreement shall be construed, governed, interpreted, and applied in accordance with the laws of the State of New York, except that any question affecting the construction and effect of any patent shall be determined by the law of the country in which the patent was granted.
